1. Services

SaveHOA provides vendor contract audit and negotiation services to HOA and condominium associations. Our engagement model is contingency-based: we earn a fee only when documented savings are achieved and approved by the client's board of directors.

2. Fee Structure

Our standard fee is 30% of first-year documented savings. "Documented savings" means the difference between the client's budgeted spend for a vendor category and the new contracted rate, calculated on an annualized basis. No fee is charged for categories where no savings are achieved. All fee calculations are presented to the board in writing for approval before an invoice is issued.

3. Board Approval

SaveHOA will not execute, sign, or commit the client to any contract, vendor change, or financial obligation without explicit written approval from the client's board of directors. All recommendations require board vote before implementation.

4. Confidentiality

SaveHOA agrees to keep all client financial information, vendor contracts, and engagement details strictly confidential. We will not disclose this information to third parties except as required to perform our services (e.g., soliciting competing bids from alternative vendors) or as required by law.

5. No Vendor Relationships

SaveHOA has no financial relationships, referral agreements, or other arrangements with any vendor. We do not accept commissions, kickbacks, or referral fees from any vendor we contact or recommend. Our sole compensation is the contingency fee paid by the client.

6. Limitation of Liability

SaveHOA's liability in connection with any engagement is limited to the fees paid by the client for that engagement. We are not responsible for vendor performance, contract disputes between clients and vendors, or outcomes resulting from board decisions made independent of our recommendations.

7. Governing Law

These terms are governed by the laws of the State of Illinois. Any disputes arising from or related to an SaveHOA engagement shall be resolved in Cook County, Illinois.
